iSIGN Media Expands with Acquisition of Pinpoint Media, Creating a Massive Digital Signage Network

The transaction, which involves the issuance of 7.5 million iSIGN treasury shares, will create one of the largest digital signage networks in North America, capable of reaching over 1.5 million daily shoppers.

The acquisition will bring Pinpoint’s existing network of over 5,600 digital faces in 1,400 convenience stores into iSIGN’s portfolio. This new network is expected to enhance iSIGN’s footprint and strengthen its ability to deliver targeted messaging and analytics to advertisers. The company’s Interactive Marketing Solution (IMS) software, a proprietary platform, will be integrated into the network to enable precise audience measurement and mobile engagement capabilities.

Strategic Importance of the Pinpoint Acquisition

With this acquisition, iSIGN aims to capitalize on the rapid growth of the convenience store channel, one of the most profitable retail segments. Pinpoint Media’s network spans across Alimentation Couche-Tard Inc.’s (Couche-Tard) Mac’s convenience stores, which see high-frequency shopper traffic, creating opportunities for real-time advertising and purchase influence.

The deal also aligns with iSIGN’s strategy to build a mediacasting network that rivals the reach of traditional cable and satellite systems. By leveraging its digital signage network and IMS software, iSIGN will be able to deliver targeted messages to customers’ mobile devices within and near the 1,400 Mac’s stores, setting a new precedent in location-based advertising.

Transaction Details

The acquisition of Pinpoint Media will be completed through the issuance of 7.5 million iSIGN treasury shares. Of these, 500,000 shares will be free trading, while the remaining 7 million will be subject to a four-month hold period. The transaction is expected to close within the next 45 days, pending final agreements with Couche-Tard.
